CanvasMax Art – Commissioned Artwork Agreement

Welcome to CanvasMax Art. These Commission Agreement Terms govern all commissioned artwork services provided by Sujeewa Hettithanthri ("Artist") through CanvasMax Art ("Website"). By requesting or purchasing a commissioned artwork, you agree to these terms.
1. Artist Information
Artist: Sujeewa Hettithanthri

The Artist creates original paintings and custom commissioned artworks for private and commercial clients, subject to the terms outlined below.
2. Commission Request Process
To request a commissioned artwork, clients must provide:
A description of the desired artwork
Preferred size and medium
Reference images (if applicable)
Color preferences and special requirements
Intended use of the artwork
Submission of a commission request does not guarantee acceptance. The Artist reserves the right to accept or decline any commission at their sole discretion.
3. Quotation and Approval
Before work begins, the Artist will provide:
Project description
Estimated completion timeline
Commission price
Shipping costs (if applicable)
The commission is considered confirmed only after the client accepts the quotation and pays the required deposit.
4. Deposit and Payment
4.1 Deposit
A non-refundable deposit of 50% of the total commission price is required before work begins unless otherwise agreed in writing.
4.2 Final Payment
The remaining balance must be paid before the artwork is shipped or delivered.
4.3 Payment Currency
All prices are listed and payable in U.S. Dollars (USD) unless otherwise specified.
5. Artwork Creation Process
The Artist will create the commissioned artwork based on the approved project description.
Minor variations in color, texture, style, and composition may occur due to the handmade nature of original artwork.
The Artist retains artistic discretion regarding:
Painting techniques
Brushwork
Materials used
Creative interpretation of the subject matter
6. Revisions
Included Revisions
Reasonable minor revisions may be requested during the creation process.
Additional Revisions
Extensive changes or requests that significantly alter the original approved concept may result in additional fees and extended completion times.
Completed Artwork
Once the artwork has been approved as complete, substantial modifications may not be possible.
7. Completion Time
Estimated completion dates are provided in good faith but are not guaranteed.
The Artist shall not be liable for delays caused by:
Illness
Material shortages
Shipping disruptions
Natural disasters
Technical issues
Other circumstances beyond reasonable control
8. Cancellation Policy
By the Client
If the client cancels after work has begun:
The deposit is non-refundable.
The Artist may retain ownership of any unfinished artwork.
Additional work completed beyond the deposit amount may be invoiced.
By the Artist
If the Artist is unable to complete the commission for any reason, any payments received for unfinished work may be refunded at the Artist's discretion.
9. Shipping and Delivery
United States and Canada
Shipping is provided free of charge for commissioned artworks delivered within the United States and Canada.
International Orders
Customers outside the United States and Canada are responsible for applicable shipping, postage, customs duties, taxes, import fees, and related charges.
Delivery Times
Delivery estimates are provided for convenience only and are not guaranteed.
10. Risk of Loss
Ownership and risk of loss transfer to the customer upon delivery to the shipping carrier.
Customers should inspect shipments promptly upon arrival and report any damage within seven (7) days of delivery.
11. Copyright and Intellectual Property
Unless otherwise agreed in writing:
The Artist retains all copyrights and intellectual property rights in the commissioned artwork.
The client receives ownership of the physical artwork only.
The client may not reproduce, sell reproductions, distribute, or commercially exploit the artwork without prior written permission.
12. Portfolio and Promotional Rights
The Artist reserves the right to:
Photograph commissioned artwork
Display images of the artwork on CanvasMax Art
Use images for portfolios, exhibitions, marketing, social media, and promotional purposes
Unless a separate confidentiality agreement has been executed.
13. Commercial Usage License
If the client requires commercial usage rights, such rights must be negotiated separately and confirmed in writing before delivery.
Additional licensing fees may apply.
14. Client Responsibilities
The client warrants that:
Any reference materials supplied do not infringe third-party rights.
They have permission to use submitted photographs or images.
Instructions provided are accurate and complete.
The client agrees to indemnify and hold the Artist harmless from claims arising from supplied materials.
15. Refunds
Because commissioned artwork is custom-made specifically for the client:
Completed commissioned artworks are generally non-refundable.
Refunds may be considered only in exceptional circumstances at the Artist's sole discretion.
16. Limitation of Liability
To the fullest extent permitted by law, the Artist shall not be liable for:
Indirect or consequential damages
Lost profits
Emotional dissatisfaction with artistic interpretation
Shipping delays beyond the Artist's control
The Artist's total liability shall not exceed the amount paid by the client for the commission.
17. Governing Law
These Commission Agreement Terms shall be governed and interpreted in accordance with the laws applicable in the jurisdiction where the Artist operates, without regard to conflict of law principles.
18. Changes to These Terms
The Artist reserves the right to modify these Commission Agreement Terms at any time. Updated versions will be posted on the Website and become effective upon publication.
